Organization and Management

The highest decision making tier at ADB is its Board of Governors, to which each of ADB's 67 members nominate one Governor and an Alternate Governor to represent them. The Board of Governors meets formally once a year at an Annual Meeting held in a member country.

The Governors' day to day responsibilities are largely delegated to the 12-person Board of Directors, which performs its duties full time at ADB's HQ in Manila.

Eight of the 12 directors are elected by member countries from within the Asia and Pacific region, and the four others are elected by member countries from outside the region.

The Board of Directors exercise the powers assigned to it under the Charter and those delegated to it by the Board of Governors. It prepares the work of the Board of Governors; takes decisions concerning loans, guarantees, investments in equity capital, borrowing by ADB, technical assistance and other operations of the ADB; submits the accounts for each financial year for approval of the Board of Governors at each annual meeting and approves the budget of the ADB.

The ADB President, under the Board's direction, conducts the business of ADB. The President is elected by the Board of Governors for a term of five years and may be reelected.

The President heads a management team comprising four Vice-Presidents and the Managing Director General, who supervise the work of ADB's operational, administrative, and knowledge departments.
