Invitation for Submission of Expressions of Interest
Program Manager & Domestic Commercial Law Expert
Project Name: NEP-3580: Strengthening Corporate and Financial Governance (TA Cluster)
Introduction and Objective
Sub TA -1 "Strengthening of Law and Regulatory Reform" under the Corporate and Financial Governance (CFG) Project aims to build awareness of the private sector and citizens on corporate and financial sector legislation - of which some is in the process of promulgation -as well as to assist the Government of Nepal in preparing necessary implementation regulation. The consultants will be housed at the Federation of Nepalese Chambers of Commerce and Industries (FNCCI), which holds the Secretariat of a task force (TF) in charge of overseeing the implementation of this Sub TA.
ADB now requires to fill two expert positions to implement the Sub TA
Project Manager (PM) and
Domestic Commercial Law Expert (DCL).
The Terms of Reference and required Qualification for the experts are set out below. 1. Project Manager:
Terms of Reference
- Organize meetings, prepare agenda and minutes
- Maintain overall records and report activities
- Under the guidance of the DCL provide comprehensive logistical support to all awareness building activities, including seminars, workshops and training
- Under the guidance of DCL coordinate with relevant stakeholders and beneficiaries
- Provide monthly reports to ADB and the TF on the implementation and outstanding issues
Qualifications
- A university degree, preferably masters in business studies
- At least five years of professional experience including working in Nepal, preferably in the private sector
- Proven skills in preparation of course literature, workshop and training, and project management
- Excellent written and oral communication skills in English and Nepali
- Experience in working with high level representatives of business and Government
2. Commercial Law Expert:
The expert will be responsible for (i) awareness building of the private sector and citizens and (ii) regulation preparation (as deemed necessary by ADB).
Awareness Building:
- Prepare a comprehensive Awareness Building Plan (ABP) based on an assessment of the needs of the private sector and citizens. This will include presentations on how relevant information on the legislation will be imparted to specific target groups, the subject matter of the information that will be imparted to each target group and the modality of training. The plan will be submitted to ADB and the TF for consultation and updated on a quarterly basis.
- Prepare user-friendly documentation and plan for interactive training of stakeholders, students and professionals.
- Hold consultative meetings with stakeholders and beneficiaries to ensure that the training meets their needs
- Design, develop and deliver a series of interactive, case study based seminars. Stakeholder (target) groups will primarily consist of law/business students, Bar Association, members of the chamber of commerce, CEO/CFO, accountants and business community
- Evaluate training activities based on feedback of participants.
- Work with the Project Manager to ensure implementation.
- Deliver quarterly reports and a final report to ADB and the TF
Regulation preparation:
- Prepare regular brief issues paper and annotated outline of the regulations and submit to ADB and TF
- Draft regulations in consultation with TF and the relevant Government ministry. The expert will consult with government and the private sector as necessary
- Prepare final drafts for all agreed legislation
- Prepare user-friendly documentation
- Publish necessary information
- Prepare an implementation plan and final report for putting in force the regulations after consultation with the stakeholders from Government and private sector
Qualifications
- An advanced degree in corporate law, which proven knowledge of international best practices
- At least 10 years practice in corporate and commercial law in Nepal
- In-depth knowledge of the legislation in the corporate and financial sectors in Nepal and international best practice
- Experience in drafting and economic and financial legislation and regulation in Nepal
- Experience in the implementation of awareness building programs
- Strong communication and training skills
