Staff on probation are not eligible to apply. Applicants for promotion must have served at their position for at least one year and must have normally served at their personal level for at least two years immediately preceding the date of the vacancy closing date. Applicants for lateral transfer must have served at their position and personal level for at least one year immediately preceding the date of the vacancy closing date (reference A.O. 2.03, paragraphs 5.8 and 5.9).

In the event that the staff appointed to a new category (i.e. from AS to NS, or from NS to IS) is rated at 2 or lower in the first two performance reviews after appointment at the new level, they will return to the level occupied immediately prior to their appointment in the new category.

The position is assigned within Office of the General Counsel (OGC). OGC is responsible in protecting the legal interests of ADB and advises on methods to limit ADB’s risk exposure appropriately. It prepares or reviews documents which create, define, modify or limit the legal rights or obligations of ADB, including loan contracts, agreements and registration statements in relation thereto, and other contractual documents.

Job Purpose

The Legal Officer will provide legal and technical support to counsel with respect to ADB’s finance and treasury operations. The incumbent will report to the Assistant General Counsel and/or designated International Staff and may supervise administrative staff.


Finance Operations

  • Provides support and assistance to counsel in all legal matters handled by the Finance team in drafting, reviewing, commenting, and processing ADB’s bond issues in major and local currencies, and swap confirmations, call notices, and other documents in connection with ADB’s derivatives transactions. Prepares letters of application for government and other approvals.
  • Undertakes review of any agreements and documents provided by the Treasury Department and other relevant departments for comment, and assists in undertaking negotiations on, and in finalizing such agreements and documents. Prepares any other agreements, documents or communications relating to legal matters handled by the Finance team.
  • Analyzes and monitors global regulatory changes, including relevant laws and regulations, impacting ADB’s Treasury operations, and requests from external counterparties on certification or documentation requirements.
  • Provides legal advice on ADB’s Charter and policies, and relevant laws and regulations applicable to specific transactions.

Legal Research and Support

  • Assists counsels in conducting research on a wide variety of topics.
  • Assists counsels in considering and responding to queries and requests by internal and external parties regarding matters related to global financial regulatory reforms and policy changes in the international capital markets and derivatives market as well as in various local jurisdictions.


  • Contributes to the training, guiding, and mentoring of new staff and consultants of the OGC Finance team.
  • Performs other duties that may be assigned on non-project specific matters as directed by the supervisor.
  • Undertakes special projects in support of OGC’s operations generally.


Relevant Experience & Requirements

• Bachelor's degree in Law and member of the Philippine Bar, or its equivalent work experience in a multilateral financial institution, and preferably with advanced training.
• At least 8 years of relevant professional experience, with in-depth knowledge in documenting bond and swap issuances and derivative transactions.
• Excellent analytical skills and attention to details.
• Able to work in multi-cultural and multi-skilled teams.
• Able to inspire trust and confidence and promote a strong culture of honesty, trust and openness.
• Excellent written and verbal communication skills in English.

General Considerations

The selected candidate, if new to ADB, is appointed for an initial term of 3 years.
