Project Rationale and Linkage to Country/Regional Strategy

TAPI presents an opportunity for regional cooperation at an unprecedented scale linking the economies of the 4 countries together.

The Central Asia Regional Cooperation's (CAREC) Strategy for Regional Cooperation in the Energy Sector identifies TAPI as one of the links in the inter-energy relationship among CAREC countries. Aims of TAPI are strategically aligned with CAREC's objectives of ensuring (i) energy security through balanced development of regional infrastructure and institutions, (ii) stronger integration of markets, and (iii) economic growth through enhanced energy trading.

TAPI is a high priority flagship project in the energy sector under CAREC 2020.

For India, the South Asia's Regional Cooperation Strategy and Programs (SA RCSP) of 2011-2015 also focuses in the energy sector as a priority area.

Description of Outcome

A natural gas pipeline consortium is established and engaged under a public-private partnership (PPP)

Progress Toward Outcome Roadshows were held between 10-20 September 2012 in Singapore, New York City and London to meet with prospective consortium leads and financiers. Technical working group (TWG) and steering committee (SC) meetings were also organized during this period. Transaction Advisor was engaged by the Parties to assist the Parties with formation of the pipeline consortium. Investment agreement was concluded in April 2016.

Status of Implementation Progress (Outputs, Activities, and Issues)

The preliminary report was prepared after the September 2012 roadshow and endorsed at the 19th TWG for Steering Committee's endorsement. After several TWG and an SC meeting, the four Governments have obtained necessary approvals for the establishment of TAPI Ltd., which is the pipeline company that will design, build, own and operate the TAPI Pipeline. An initial $5.0 million capital injection has also been approved for each of the Parties to provide as initial investment into TAPI Ltd. The Parties have engaged ADB as Transaction Advisor to assist them with the establishment of TAPI Ltd., as well as in finding and engaging a Consortium Leader for it. The Operations Agreement was signed on 8 July 2014, after the 18th SC Meeting. TAPI Pipeline Company Limited was incorporated in November 2014.

By the 22nd SC Meeting in 7 August 2015, TAPI steering committee unanimously endorsed Turkmengaz to become the consortium leader for TAPI Pipeline Company Limited.

During the 23th Steering Committee meeting on 24 October 2015 in Ashgabat, Shareholders of TAPI Pipeline Company Limited initialed the Shareholders Agreement. The Shareholders Agreement was signed on 13 December 2015 at the groundbreaking ceremony.

The 24th Steering Committee meeting on 27 April 2016 in Ashgabat was concluded by the signing of the Investment Agreement by the shareholders of TAPI Pipeline Company Limited.

During Project Design 17th, 18th, 19th, 20th, 21st, 22nd, 23rd, 24th, 25th, 26th, 27th, 28th and 29th Technical Working Group meetings and 16th, 17th, 18th, 19th, 20th, 21st, 22nd, 23rd and 24th SC meetings were held to date.
During Project Implementation TWG and SC meetings are held with representatives from Turkmenistan, Afghanistan, Pakistan, and India.
Business Opportunities
Consulting Services The TA requires at least 16 person-months in total of international and 37 months of national consulting services. The Oil & Gas Expert (international consultant), Legal Advisor (international consultant) and the national consultant are engaged as individual consultants. The TA also requires cumulative 15 person-days of various resource persons including oil and gas, safeguards, security and commercial experts. Consultants and resource persons will be engaged in accordance with the Guidelines on the Use of Consultants by ADB and Its Borrowers (2013), as amended from time to time.
Procurement Procurement involved in the project including the roadshows (i.e., materials, venue rental and translation services) and meetings are carried out in accordance with ADB Procurement Guidelines (2015), as amended from time to time.
