Description

India Agri Business Fund II (IABF II or the Fund) will invest in companies with business and operations focused primarily on the Indian agri-business sectors (mainly on the agricultural inputs, primary processing and the agricultural infrastructure related segments), comprising of revenue-generating, cash flow positive and predominantly rural-based medium-scaled enterprises, with strong growth prospects The Fund will have a target size of $200 million, with US$ 100 million being targeted in the first close.

The Fund is sponsored by Rabobank, (Co?peratieve Centrale Raiffeisen-Boerenleenbank B.A. (the Sponsor), which is a leading bank focused predominantly on the agriculture sector, and it will be managed by Rabo Equity Management Company Limited (the Investment Manager), a subsidiary entity of Rabobank, incorporated under the laws of Mauritius. As per typical India PE fund structures, the Investment Manager will engage an Indian investment advisor, Rabo Equity Advisors Private Limited (the Indian Advisor), an existing private company with limited liability incorporated under the Indian Companies Act, to serve as its adviser and, in that capacity to provide information and investment advice to the Investment Manager or Investment Committee set up by the Investment Manager. The Indian Advisor has domain expertise in private equity advisory and the Indian agribusiness sectors, At present, it provides investment advisory services to the Investment Manager in respect of the India Agri Business Fund Ltd I, with an investment strategy substantially similar to that of the proposed second Fund, and is staffed with professionals of relevant industry and private-equity backgrounds. The first fund, which raised US$ 120 million in capital from Rabobank, CDC, IFC, DEG and FMO, is fully invested and the first phase of exit has begun.
